1. Agreement
These Terms of Use govern your use of www.upterra.co (the "Site"), operated by UpTerra Corp. ("UpTerra", "we", "us"). By using the Site you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the Site. If you use the Site on behalf of a company or farm, you confirm you have authority to bind it.

2. Using the Site
You may browse the Site, download materials we make available for download, and contact us through the forms provided. You may not copy or republish Site content for commercial purposes without our written permission, attempt to gain unauthorized access to any part of the Site, use automated tools to scrape it, upload anything unlawful or harmful, or use the Site in a way that damages it or others' use of it.

3. Our content and trademarks
The Site and everything on it, including text, photographs, video, graphics, data, reports and the design of the Site, belong to UpTerra or our licensors and are protected by copyright and other laws. UpTerra® and TerraFlow® are registered trademarks of UpTerra Corp., and the UpTerra logo is a registered trademark of UpTerra Corp. UpTerra System, Flow Device and Frequency Arrays are trademarks of UpTerra Corp. Nothing on the Site grants you a license to use them.

4. Results information
The Site describes results observed on farms and in trials using the UpTerra System. Those results were measured under the conditions stated with each figure. They are examples of what was observed, not a promise of what you will see. Results vary by crop, climate, water source, irrigation system and farm conditions. Information on the Site is general and is not agronomic, financial or legal advice; make decisions about your own operation with your own advisers.

5. Forms and email
When you submit a form you confirm the information is accurate and that you are the person, or authorized by the person, whose details you give. Marketing email is governed by section 5 of our Privacy Policy, including how to unsubscribe.

6. Third-party sites and services
The Site links to third-party websites and embeds services such as video players and social media. We do not control them and are not responsible for their content, terms or privacy practices.

7. Disclaimer of warranties
The Site is provided "as is" and "as available". To the fullest extent permitted by law, UpTerra disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the Site will be uninterrupted, error-free or free of harmful components, or that information on it is complete or current.

8. Limitation of liability
To the fullest extent permitted by law, UpTerra and its officers, employees and agents are not liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, crops, data or goodwill, arising from your use of or inability to use the Site, even if advised of the possibility. Our total liability for any claim relating to the Site is limited to one hundred US dollars (US$100). Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be excluded by law, and nothing affects the statutory rights of consumers in the UK, the EU or Canada. Products and services purchased from UpTerra are governed by their own written agreements, not by these Site terms.

9. Indemnity
If you are a business user you agree to indemnify UpTerra against claims, losses and reasonable legal fees arising from your breach of these terms or your misuse of the Site.
10. Governing law and disputes

These terms are governed by the laws of the State of California, without regard to its conflict of laws rules. If a dispute arises, contact us first at contact@upterra.co and we will try to resolve it informally within 30 days. Any dispute not resolved that way will be brought in the state or federal courts located in Marin County, California, and you consent to their jurisdiction. If you are a consumer in the UK, the European Union or Canada, you keep the protections of the mandatory law of your country or province of residence and may bring proceedings in your local courts.

11. Changes to the Site and these terms
We may change or remove any part of the Site at any time. We may update these terms; the version and date at the top show the current version, and continued use of the Site after a change means you accept it.

12. General
If any part of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a term is not a waiver of it. These terms and the Privacy Policy are the entire agreement between you and UpTerra about the Site. Any translation of these terms is for convenience; the English version controls.
